1. Acceptance of Terms

Welcome to Versatec.

These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, software, AI services, and other products and services (collectively, the "Services") provided by Versatec ("Versatec", "we", "our", or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

If you use the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years old, or the age of majority in your jurisdiction.
  • Have the legal capacity to enter into a binding agreement.
  • Comply with all applicable laws and regulations.

If you are using the Services on behalf of a business or other legal entity, you represent that you are authorized to do so.

3. Your Account

You may need to create an account to access certain Services.

You agree to:

  • Provide accurate and complete information.
  • Keep your account credentials secure.
  • Promptly update any information that changes.
  • Notify us immediately of any unauthorized access to your account.

You are responsible for all activities that occur under your account.

4. Our Services

Versatec provides software products and AI-powered services, which may include:

  • AI assistants and agents
  • Workflow automation
  • Knowledge base management
  • APIs
  • Messaging integrations
  • Analytics
  • Web applications
  • Mobile applications
  • Other software products developed by Versatec

We may modify, improve, suspend, or discontinue any part of the Services at any time.

5. Subscription Plans and Billing

Certain Services may require payment.

If you purchase a subscription or paid plan:

  • Fees will be disclosed before purchase.
  • Payments are due according to the selected billing cycle.
  • You authorize us to charge your selected payment method.
  • Taxes may apply depending on your jurisdiction.

Unless otherwise stated, subscriptions automatically renew until cancelled.

Failure to pay may result in suspension or termination of your access.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any law or regulation.
  • Infringe intellectual property rights.
  • Send spam or unsolicited communications.
  • Create or distribute malware.
  • Attempt unauthorized access to systems.
  • Interfere with platform security.
  • Reverse engineer the Services except where permitted by law.
  • Abuse APIs or circumvent rate limits.
  • Generate fraudulent, deceptive, or harmful content.
  • Use the Services to facilitate illegal activities.

We reserve the right to suspend or terminate accounts that violate these Terms.

7. AI Services

Some Versatec Services use artificial intelligence.

By using AI features, you acknowledge that:

  • AI-generated content may contain inaccuracies or omissions.
  • AI responses should not be considered professional, legal, financial, medical, or other regulated advice.
  • You are responsible for reviewing AI-generated outputs before relying on them.
  • AI outputs may not always be unique and similar responses may be generated for other users.

Versatec does not guarantee the accuracy, completeness, or suitability of AI-generated content.

8. User Content

You retain ownership of the content you submit to the Services, including:

  • Documents
  • Files
  • Images
  • Prompts
  • Knowledge bases
  • Workflows
  • Configurations
  • Other uploaded materials

You grant Versatec a limited, non-exclusive, worldwide license to use, process, store, reproduce, and transmit your content solely as necessary to operate, maintain, secure, and improve the Services.

You represent that you have the necessary rights to upload and use such content.

9. Intellectual Property

All rights, title, and interest in the Services, including software, designs, trademarks, branding, logos, documentation, and other intellectual property owned by Versatec, remain the property of Versatec or its licensors.

These Terms do not grant you ownership of the Services.

10. APIs and Integrations

Where APIs or third-party integrations are available:

  • API keys must be kept confidential.
  • You are responsible for activity performed using your credentials.
  • You must comply with any applicable API documentation and rate limits.
  • Third-party services remain subject to their own terms and privacy policies.

Versatec is not responsible for changes made by third-party providers that affect integrations.

11. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.

Maintenance, updates, security events, network failures, or circumstances beyond our reasonable control may temporarily affect availability.

12. Suspension and Termination

We may suspend or terminate access if:

  • You violate these Terms.
  • You fail to pay applicable fees.
  • We reasonably believe your account is being used unlawfully or fraudulently.
  • Your use poses a security risk to the Services or other users.

You may stop using the Services and close your account at any time.

Termination does not relieve either party of obligations that accrued before termination.

13. Beta Services

From time to time, Versatec may offer features, products, or services designated as "Beta," "Preview," "Early Access," or similar ("Beta Services").

Beta Services are provided for evaluation and testing purposes and may:

  • Be incomplete or contain errors.
  • Be modified or discontinued at any time.
  • Not be suitable for production use.
  • Have limited support or documentation.

Beta Services are provided "AS IS" without any warranties, and Versatec assumes no obligation to continue offering or supporting them.

Your use of Beta Services is at your own risk.

14. Feedback

We welcome suggestions, ideas, feature requests, and other feedback regarding our Services.

If you provide feedback to Versatec, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, modify, incorporate, publish, and otherwise exploit that feedback for any lawful purpose without compensation or obligation to you.

This provision does not grant us ownership of your confidential information or other content beyond the feedback you voluntarily provide.

15. Force Majeure

Versatec shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Fire
  • Flood
  • War
  • Terrorism
  • Civil unrest
  • Government actions
  • Internet or telecommunications failures
  • Power outages
  • Labor disputes
  • Pandemics
  • Failures of third-party service providers or cloud infrastructure

We will use commercially reasonable efforts to restore affected Services as soon as practicable.

16. Export Controls and Sanctions

You agree not to use, export, re-export, or otherwise transfer the Services in violation of any applicable export control, trade, or sanctions laws.

You represent and warrant that:

  • You are not located in a jurisdiction subject to comprehensive trade restrictions that would prohibit your use of the Services under applicable law.
  • You are not prohibited from receiving the Services under applicable laws or regulations.

You are responsible for complying with all laws applicable to your use of the Services.

17. Intellectual Property Complaints

Versatec respects the intellectual property rights of others and expects users of the Services to do the same.

If you believe that content available through the Services infringes your intellectual property rights, please provide a written notice including:

  • Identification of the copyrighted or protected work.
  • Identification of the allegedly infringing material.
  • Your contact information.
  • A statement explaining your good-faith belief that the use is unauthorized.
  • A statement that the information provided is accurate and that you are authorized to act on behalf of the rights holder.

Upon receiving a valid notice, Versatec may investigate the claim and remove or restrict access to the allegedly infringing content where appropriate.

18. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, Versatec disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Versatec shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to your use of the Services.

Where liability cannot legally be excluded, Versatec's total liability shall be limited to the amount you paid to Versatec for the applicable Services during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

20. Indemnification

You agree to indemnify and hold harmless Versatec, its directors, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your infringement of the rights of another person or entity.
  • Content you upload or distribute using the Services.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ghana, without regard to conflict of law principles.

Any disputes arising under these Terms shall be subject to the jurisdiction of the competent courts of Ghana, unless applicable law requires otherwise.

22. Changes to These Terms

We may revise these Terms from time to time.

If material changes are made, we will provide notice through the Services or by other reasonable means.

Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.

24. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Versatec regarding your use of the Services and supersede any prior agreements relating to the same subject matter.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
